Fair Use of Site Licenses and Subscription Offerings

These fair use provisions govern your use of Eccentex Software offerings that provide unlimited or substantially unlimited user access to the Software, if applicable (“Unlimited License”).

An Unlimited License is intended to enable broad adoption of the Software within your organization for a fixed subscription fee, without imposing a technical limit on the number of authorized users, unless otherwise specified in the License Agreement. The purpose of these fair use provisions is to protect the security, availability, performance, integrity, and economic sustainability of the Software while allowing you to scale legitimate business use without unnecessary restrictions. These fair use provisions form part of these Terms of Use.

Meaning of “Unlimited”

Unless expressly stated otherwise in a License Agreement, an “unlimited users,” or similar entitlement means that you may authorize an unlimited number of eligible users within your organization to access and use the Software. An Unlimited License does not include unlimited or unrestricted consumption of infrastructure or usage-based resources, including compute capacity, data storage, network bandwidth, API transactions, artificial intelligence processing, third-party services, communications services, or other metered or transaction-based resources. Usage-based, transactional, third-party, or separately licensed services are included only where expressly stated in the applicable License Agreement.

Principle of Fair Use

The Software is intended for legitimate business automation, case management, workflow orchestration, customer engagement, process management, and other business purposes supported by the Software.  Usage will generally be considered fair when it:

  • supports your genuine business operations or workflows;
  • is consistent with the intended functionality of the Software;
  • does not intentionally or unnecessarily consume disproportionate Eccentex resources;
  • does not materially impair or threaten the availability, security, or performance of the Software for you or other customers;
  • does not circumvent technical, contractual, licensing, or usage controls; and
  • remains within any specific usage entitlements, quotas, or metered services identified in the License Agreement.

License Boundary and Third-Party Use

An Unlimited License is provided for your organization only, including any affiliates, locations, users, or other entities expressly permitted under the License Agreement.

Unless expressly authorized by Eccentex, you may not use ann Unlimited License to:

  • resell, sublicense, or commercially redistribute access to the Software;
  • operate the Software as a service bureau or shared platform primarily for unrelated third parties;
  • extend unlimited user entitlements to organizations or entities outside the licensed scope; or
  • use the Unlimited License primarily to avoid licensing requirements that would otherwise apply to another organization.

Use by contractors, service providers, affiliates, customers, or other third parties is permitted where authorized by the applicable License Agreement and consistent with your legitimate business operations.

Prohibited and Unfair Usage

Unfair, abusive, or prohibited usage includes, without limitation:

  • intentionally generating artificial workloads, transactions, API calls, or other activity for the purpose of consuming resources or testing capacity without a legitimate business purpose;
  • creating runaway, recursive, or unnecessarily repetitive automated processes that generate excessive resource consumption;
  • intentionally circumventing usage controls, rate limits, licensing restrictions, security mechanisms, or other safeguards;
  • using the Software and related infrastructure primarily for computational workloads unrelated to supported Software business functions;
  • using the Software as a general-purpose data warehouse, file archive, backup repository, content distribution service, or storage service unrelated to legitimate Software workflows;
  • generating excessive or unnecessary API traffic, including avoidable polling or repeated requests where more efficient supported integration methods are reasonably available;
  • conducting vulnerability scanning, penetration testing, load testing, stress testing, denial-of-service testing, or similar security or performance testing without prior authorization from Eccentex;
  • using Software resources to attack, disrupt, probe, or interfere with Eccentex systems or any third-party system;
  • intentionally creating activity that materially degrades or threatens Software or related infrastructure stability, security, availability, or performance; or
  • using the Software in a manner otherwise prohibited by the License Agreement, applicable documentation, or applicable law.

Eccentex will consider the nature, duration, frequency, business purpose, technical impact, and resource consumption of an activity when determining whether usage is unfair. No single usage metric will necessarily determine whether a violation has occurred.

Artificial Intelligence Services

AI functionality made available through the Software is intended to support legitimate business automation, augmentation, analysis, assistance, and workflow processing. Unless expressly included in the applicable License Agreement, the Unlimited License does not include unlimited usage of AI models, tokens, inference services, AI credits, third-party AI services, or other transaction-based AI resources.

AI services may, therefore, be subject to separate usage entitlements, transaction charges, rate limits, credits, provider restrictions, or other commercial terms. An Unlimited License may not be used primarily to perform unrelated high-volume AI computation, mass synthetic content generation, general-purpose model training, model experimentation, or other AI workloads that are not reasonably connected to your business processes implemented through the Software. Nothing in this section prevents normal use of AI capabilities within your legitimate workflows.

Data Storage

Customers may store and process data reasonably required for Software workflows and supported business purposes, subject to the License Agreement and applicable storage entitlements.

The Software may not be used primarily as a general-purpose file storage, archival, backup, media hosting, or data warehousing service unless such use is expressly supported by the applicable subscription. Eccentex may review your storage consumption patterns and work with you where storage usage is materially inconsistent with the intended use of the Software.

Integrations and API Usage

You may use supported APIs and integrations for legitimate business integration, automation, orchestration, migration, import, export, and other documented Software functions.

You are responsible for designing and operating integrations in a commercially reasonable manner.

Integration patterns that produce unnecessary requests, excessive polling, uncontrolled retries, abnormal request volumes, duplicate transactions, or other avoidable system load may be considered unfair usage.

APIs may not be used primarily as an unauthorized bulk extraction, replication, or data distribution mechanism. This restriction does not prohibit supported export, backup, migration, reporting, or integration functionality made available or authorized by Eccentex. Eccentex may apply reasonable technical rate limits or safeguards where necessary to protect Software security, stability, or performance.

Monitoring and Operational Safeguards

Eccentex may monitor Software usage and operational telemetry to identify security threats, service degradation, abnormal resource consumption, potential violations of these fair use provisions, and capacity requirements. Such monitoring may include resource consumption, transaction volumes, API request rates, storage utilization, processing activity, error rates, and similar operational information.

Nothing in these fair use provisions grants Eccentex additional rights to your data beyond those provided in the License Agreement. Where necessary to protect the Software, Eccentex may implement reasonable safeguards such as rate limiting, throttling, temporary workload restrictions, isolation of problematic processes, or other activity-specific controls.

Excessive Usage and Remediation

Where Eccentex reasonably determines that your usage materially violates these fair use provisions or creates a disproportionate operational, security, technical, or financial impact, Eccentex will generally notify you and provide sufficient information to allow you to investigate and remediate the issue.

Where reasonably practicable, Eccentex will provide you with an opportunity to correct the usage pattern before imposing material service restrictions. Remediation may include optimization of workflows or integrations, correction of runaway processes, implementation of reasonable technical controls, reduction of unnecessary resource consumption, or migration to capacity or commercial terms appropriate for your sustained usage requirements. If excessive or unfair usage continues after reasonable notice and an opportunity to remediate, Eccentex may impose appropriate technical controls, require a commercial review, require additional capacity or separately metered services, or suspend the affected functionality in accordance with the License Agreement. Additional fees will apply only where authorized by the License Agreement between you and Eccentex, including any amendments thereto.

Emergency Action

Notwithstanding the normal remediation process above, Eccentex may take immediate action where Eccentex reasonably determines that your activity:

  • creates an immediate or material security risk;
  • threatens the availability or integrity of the Software;
  • materially affects other Eccentex customers or Eccentex infrastructure;
  • involves suspected unlawful activity; or
  • requires immediate action to comply with applicable law or a binding governmental requirement.

Where circumstances permit, Eccentex will notify you of such action and will work with you to restore normal service after the relevant risk has been addressed.

Customer Responsibilities

You are responsible for ensuring that your authorized users, applications, automated processes, integrations, agents, bots, and other systems accessing the Software comply with these fair use provisions. You agree to reasonably cooperate with Eccentex in investigating and resolving usage patterns that materially affect Software reliability, security, performance, or availability.

Legitimate Business Scaling

These fair use provisions are not intended to discourage or restrict legitimate adoption of the Software.

Increasing numbers of users, business processes, cases, workflows, transactions, integrations, or automation volumes resulting from your genuine business requirements are expected uses of the Software. Eccentex will not treat increased business usage as a violation merely because the you obtain greater value from your Unlimited License. These fair use provisions are intended to address abuse, unintended or inefficient resource consumption, usage outside the licensed scope, and workloads that create disproportionate impact—not successful adoption of the Software. If you are planning unusually large deployments, high-volume integrations, intensive AI workloads, or other significant Software usage, you are encouraged to consult Eccentex in advance so that appropriate architecture, capacity, and commercial arrangements can be established.

Organization Accounts and Administrators

The Software often provides the ability to specify one or more administrators. The administrators will have the right to configure the Software based on your requirements and manage end users in your organization account. If your organization account is created and configured on your behalf by a third party, it is likely that such third party has assumed administrator role for your organization.  Make sure that you enter into a suitable agreement with such third party specifying such party’s roles and restrictions as an administrator of your organization account.

You are responsible for i) ensuring confidentiality of your organization’s account IDs and passwords, ii) appointing competent individuals as administrators for managing your organization account, and iii) ensuring that all activities that occur in connection with your organization account comply with this Agreement. You understand that Eccentex is not responsible for account administration and internal management of the Software for you.

You will maintain a reasonable and appropriate administrative, physical, and technical level of security regarding your antivirus and firewall protections, and connectivity with the Software and Cloud Services.  You are solely responsible for achieving and maintaining any industry-specific certifications required for your business purposes.

You are responsible for taking necessary steps for ensuring that your organization does not lose control of the administrator accounts.  In the event of loss of control of the administrator accounts, Eccentex may provide control of an administrator account to an individual providing proof satisfactory to Eccentex demonstrating authorization to act on behalf of the organization. You agree not to hold Eccentex liable for the consequences of any action taken by Eccentex in good faith in this regard.

Online Communities

Eccentex may provide information to online communities such as forums, blogs, discussion groups, chat areas, newsgroups, or other messaging or communication functions (“Online Communities”). Eccentex is not obligated to provide any technical support for the Online Communities. To the extent technically allowed by the Site, you agree to use the Online Communities only to upload, post, send, and receive messages (including feedback and suggestion), files, documents, graphics, images, and other content or materials (collectively the “Content”) that are related to the scope of the Online Community and you accept responsibility for the disclosure of any such information provided to an Online Community.

Eccentex does not endorse, support, represent or guarantee the accuracy, reliability, or truthfulness of any Content or communications in the Online Communities. You understand that by using the Software or Site, you may be exposed to Content that might be harmful, offensive, inaccurate or otherwise inappropriate, or in some cases, Content that has been mislabeled or is otherwise deceptive. Under no circumstances will Eccentex be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available by or through the Software or Site.

Eccentex reserves the right, but has no obligation, to monitor the Online Communities, and Eccentex reserves the right to review any Content uploaded, posted, or sent, and to remove any Content in Eccentex’s sole discretion.

Subscription to Beta or Trial Services

We may offer Software or certain services as closed or open beta services for the purpose of testing and evaluation (“Beta Service” or “Beta Services”). You agree that we have the sole authority and discretion to determine the period of time for testing and evaluation of Beta Services. We will be the sole judge of the success of such testing and the decision, if any, to offer any of the Beta Services as a commercial service. You will be under no obligation to acquire a subscription to use any paid service as a result of your subscription to any Beta Service. We reserve the right to fully or partially discontinue, at any time and from time to time, temporarily or permanently, any of the Beta Services with or without notice to you.  You agree that Eccentex will not be liable to you or to any third party for any harm related to, arising out of, or caused by the modification, suspension or discontinuance of any of the Beta Services for any reason.

The aggregate liability of Eccentex and any of its directors, officers, employees, or other representatives to you for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence) arising from the Terms of Use or your use of the Software or Site will not exceed, in the aggregate, the amount, if any, paid by you to Eccentex for your use of the Software or Site or purchase of products or services via the Site.
